Welcome to ScooNest. These Terms & Conditions ("Terms") govern your access to and use of the ScooNest website, application, software, and related services.
By accessing or using ScooNest, you agree to be bound by these Terms. If you are using ScooNest on behalf of a school, educational institution, company, or other organization, you confirm that you have the authority to accept these Terms on its behalf.
1. About ScooNest
ScooNest is a school management platform that provides educational institutions with tools to manage administrative and academic operations, including students, teachers, parents, attendance, fees, examinations, communication, transportation, and related school activities.
The specific features available to an account may depend on the subscription plan, configuration, permissions, and services selected by the school.
2. Eligibility
ScooNest is primarily intended for use by schools, educational institutions, organizations, and their authorized users.
By creating or using an account, you represent that:
- You are legally capable of entering into an agreement.
- The information you provide is accurate and current.
- You have the necessary authority to create or manage the account.
- You will use ScooNest only for lawful and authorized purposes.
3. School Accounts
A school or institution may create an account and designate administrators and other authorized users.
The school is responsible for:
- Providing accurate account and institution information.
- Maintaining the confidentiality of account credentials.
- Managing user roles and permissions.
- Ensuring that only authorized individuals access the platform.
- Reviewing and maintaining information entered into the platform.
- Ensuring that its use of ScooNest complies with applicable laws and regulations.
Schools are responsible for all activity carried out through accounts and credentials under their control, except where unauthorized activity results from circumstances outside their reasonable control.
4. User Accounts and Access
Users may be provided with individual login credentials depending on their role, such as school administrator, teacher, parent, student, agent, driver, or other authorized user.
Users must:
- Keep their login credentials confidential.
- Not share their account with unauthorized individuals.
- Provide accurate information.
- Immediately report suspected unauthorized access.
- Use only the permissions assigned to their account.
We reserve the right to suspend or restrict an account where we reasonably believe that the account has been compromised, misused, or used in violation of these Terms.
5. School and Student Data
Schools may use ScooNest to store and manage information relating to students, parents, teachers, staff, drivers, and other individuals.
The school remains responsible for determining what information is collected and entered into ScooNest and for ensuring that such collection and use is lawful.
Schools must not upload information that they do not have the legal right or appropriate authorization to process.
Our handling of personal information is also governed by our Privacy Policy.
6. Children's Information
ScooNest may process student and children's information as part of providing school management services.
Schools and authorized institutions are responsible for obtaining any permissions, consents, notices, or authorizations required by applicable law before entering or processing children's information through the platform.
Schools should use appropriate access controls and permissions to ensure that student information is accessible only to authorized users.
7. Acceptable Use
You agree to use ScooNest only for lawful educational, administrative, communication, and related purposes.
You must not:
- Use ScooNest for unlawful, fraudulent, or abusive activities.
- Attempt to gain unauthorized access to another account or system.
- Upload malicious software, viruses, or harmful code.
- Attempt to disrupt or interfere with the operation of ScooNest.
- Reverse engineer, decompile, or attempt to extract source code except where permitted by applicable law.
- Copy, reproduce, resell, or redistribute ScooNest without written permission.
- Use automated systems to excessively access or scrape the platform.
- Upload content that infringes another person's intellectual property or privacy rights.
- Use the platform to harass, threaten, abuse, or harm another person.
- Use ScooNest for purposes outside the scope of your authorized account.
8. Subscription Plans
ScooNest may provide different subscription plans with different features, limits, user allowances, storage limits, or other usage restrictions.
The features and limits applicable to your account are determined by the subscription plan selected by the school or organization.
We may introduce new plans, modify existing plans, or change feature availability from time to time. Where changes materially affect an active subscription, we will provide reasonable notice where appropriate.
9. Free Demo and Trial Access
ScooNest may offer free demonstrations, evaluations, trials, or limited-access versions of the platform.
Free access may have limitations on features, users, storage, duration, or other usage.
We may discontinue or modify a free trial or demonstration at any time. Unless otherwise agreed in writing, free trials do not create an obligation to continue providing the service after the trial period.
10. Fees and Payments
Paid subscriptions are subject to the pricing and payment terms presented at the time of purchase or subscription.
- Fees must be paid according to the selected billing period.
- Taxes may apply depending on the customer's location and applicable law.
- Payment processing may be handled by third-party payment providers.
- Failure to make required payments may result in suspension or restriction of access.
Unless otherwise stated in writing, subscription fees are non-refundable for partially used billing periods.
11. Cancellation
A school or organization may cancel its subscription according to the cancellation process applicable to its plan.
Cancellation may prevent future subscription charges but does not automatically entitle the customer to a refund for previously paid fees unless required by applicable law or expressly agreed otherwise.
12. Suspension and Termination
We may suspend or terminate access to ScooNest if:
- These Terms are materially violated.
- Required subscription payments remain unpaid.
- The platform is being used for illegal or harmful activities.
- There is a significant security risk to the platform or other users.
- We are required to do so by law or a competent authority.
- Continued access creates a material risk to ScooNest or its users.
Where reasonably possible, we may provide notice and an opportunity to resolve the issue before suspension or termination.
13. Data After Cancellation
Following cancellation or termination, access to account data may be restricted according to the applicable subscription and our data-retention practices.
Schools are responsible for exporting or requesting necessary data before account termination where such export functionality is available.
After the applicable retention period, information may be deleted, anonymized, or securely disposed of, subject to legal, contractual, backup, and security requirements.
14. Intellectual Property
ScooNest and its underlying software, design, branding, interface, documentation, features, graphics, content, and technology are owned by or licensed to ScooNest and are protected by applicable intellectual property laws.
Your subscription gives you a limited, non-exclusive, non-transferable right to access and use the platform during your active subscription in accordance with these Terms.
No ownership rights in the ScooNest software or intellectual property are transferred to you.
15. Customer Data Ownership
Schools and organizations retain their rights to the information and content they submit to ScooNest.
You grant ScooNest the limited rights necessary to host, store, process, transmit, display, and otherwise handle such information solely for providing, maintaining, securing, and improving the services, and for fulfilling our legal and contractual obligations.
16. User Content
Users may upload documents, images, records, messages, notes, and other information to ScooNest.
You are responsible for ensuring that content you upload:
- Is accurate where accuracy is required.
- Does not violate applicable laws.
- Does not infringe third-party rights.
- Does not contain malicious software.
- Is appropriate for the intended educational or administrative purpose.
17. Third-Party Services
ScooNest may integrate with or rely upon third-party services for hosting, payments, authentication, email, SMS, push notifications, analytics, maps, storage, communication, or other functionality.
Third-party services may have their own terms and privacy policies. Your use of those services may be subject to the applicable third-party terms.
We are not responsible for failures or changes in third-party services that are outside our reasonable control.
18. Transportation and Live Location Features
ScooNest may provide transportation-related functionality, including driver management, vehicle management, routes, stops, pickup and drop-off information, and live location features.
Where live location functionality is enabled, location information may be collected and displayed to authorized users for transportation, safety, operational, or communication purposes.
Schools are responsible for configuring access permissions appropriately and informing relevant users about applicable transportation and location practices.
Live location information may depend on the availability and accuracy of GPS, mobile networks, devices, operating systems, and third-party services. ScooNest does not guarantee continuous or perfectly accurate location information.
19. Notifications and Communications
ScooNest may send notifications through email, SMS, push notifications, or other communication channels for account, school, attendance, fee, transportation, security, or other platform-related purposes.
Delivery of notifications may depend on third-party communication providers, mobile networks, device settings, internet connectivity, and other factors outside our control.
20. Service Availability
We aim to keep ScooNest available and reliable, but we do not guarantee that the service will always be uninterrupted, error-free, or available at all times.
Service interruptions may occur due to maintenance, upgrades, technical failures, network problems, third-party services, security incidents, natural events, or circumstances beyond our reasonable control.
21. Updates and Maintenance
We may update, modify, improve, or discontinue features of ScooNest from time to time.
We may perform scheduled or emergency maintenance when necessary to maintain security, performance, reliability, or functionality.
22. Accuracy of Information
ScooNest provides tools for managing school information but does not guarantee that information entered by users is accurate, complete, or current.
Schools and authorized users are responsible for reviewing information and correcting errors where necessary.
23. No Professional or Educational Advice
ScooNest is a software and administrative management platform. Information generated, stored, or displayed through the platform should not be considered legal, financial, medical, educational, or other professional advice unless explicitly provided by an appropriately qualified professional.
24. Disclaimer of Warranties
To the maximum extent permitted by applicable law, ScooNest is provided on an "as available" and "as is" basis.
We do not guarantee that:
- The service will meet every individual requirement.
- The service will always be available without interruption.
- The platform will be completely error-free.
- All data will always be available without delay.
- Third-party services will always operate without interruption.
25. Limitation of Liability
To the maximum extent permitted by applicable law, ScooNest and its owners, employees, affiliates, contractors, and service providers will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or relating to your use of the service.
This may include loss of profits, business interruption, loss of opportunity, loss of data, or other indirect losses, except where such limitation is prohibited by applicable law.
Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.
26. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless ScooNest and its owners, employees, affiliates, contractors, and service providers from claims, losses, damages, liabilities, and expenses arising from:
- Your violation of these Terms.
- Your unlawful or unauthorized use of ScooNest.
- Content or information you upload to the platform.
- Your violation of another person's rights.
- Your failure to comply with applicable laws or regulations.
27. Confidentiality
Each party agrees to use reasonable measures to protect confidential information received from the other party in connection with the services.
Confidential information does not include information that is publicly available, independently developed, lawfully obtained from another source, or required to be disclosed by law.
28. Force Majeure
ScooNest will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, acts of government, internet or telecommunications failures, power failures, cyber incidents, strikes, war, civil unrest, or failures of third-party infrastructure.
29. Changes to These Terms
We may update these Terms from time to time to reflect changes to our services, business practices, technology, or legal requirements.
Updated Terms will be posted on this page with a revised "Last Updated" date. Continued use of ScooNest after the effective date of updated Terms may constitute acceptance of the updated Terms where permitted by applicable law.
30. Governing Law
These Terms will be governed by and interpreted in accordance with the applicable laws of India, unless otherwise required by applicable law or agreed in a written contract with the customer.
Any disputes will be subject to the jurisdiction of the courts having appropriate jurisdiction, subject to applicable law.
31. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be modified or limited to the minimum extent necessary, and the remaining provisions will continue to apply.
32. Entire Agreement
These Terms, together with any applicable order form, subscription agreement, service agreement, and ScooNest Privacy Policy, constitute the agreement governing your use of the services, unless a separate written agreement applies.
